The Channel Partner may represent to potential referrals that GrowthForce is its “Channel Partner.” GrowthForce agrees not to disclose any confidential information, including but not limited to pricing, contract terms, staffing models, and procedures pertaining to goods or services, nor that of prospective or existing customers to any third party, except as needed to provide goods or services and The Channel Partner reciprocally agrees to the same for GrowthForce’s goods or services, prospects, and existing customers.

The Channel Partner agrees that it shall not, directly, or indirectly, solicit or recruit any GrowthForce employees and GrowthForce agrees that it shall not, directly, or indirectly, solicit or recruit any Channel Partner employees. In recognition that employees are the most valuable assets of our respective companies, and the loss of an employee will be difficult or impossible to determine, in the event of a breach of this provision, a fee will be paid by the hiring company equal to the employee's total compensation for the most recent twelve (12) months.

Either party may terminate this referral agreement at any time by giving the other party ten (10) days prior written notice. Upon the termination of this agreement, any recurring commissions that are due or ongoing will end.

Each party shall indemnify, defend, and hold the other party (and any other relation to the other party) harmless against all claims of whatsoever nature arising from misrepresentation, default, misconduct, failure to perform or any other act related to this agreement.

This agreement constitutes the whole agreement between the parties and any alteration must be in writing and signed by both parties.
